1. Acceptance of Terms

By accessing or using the Future Learning platform, website, mobile applications, or any other services offered by Future Learning (collectively referred to as the "Service"), you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use our Service.

These Terms of Use constitute a legally binding agreement between you and Future Learning regarding your use of the Service. We reserve the right to modify these terms at any time, and such modifications shall be effective immediately upon posting. Your continued use of the Service following any changes indicates your acceptance of the revised terms.

2. User Accounts

To access certain features of our Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify Future Learning of any unauthorized use of your account or any other breach of security.

Future Learning reserves the right to suspend or terminate your account at any time if we suspect misuse or if you violate these Terms of Use.

3. Intellectual Property Rights

The Service and all content, features, and functionality thereof, including but not limited to text, graphics, videos, logos, icons, images, audio clips, digital downloads, data compilations, software, and the compilation thereof, are owned by Future Learning, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for personal, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any materials from our Service without written permission from Future Learning.

4. User Content

The Service may allow you to post, upload, publish, submit, or transmit content ("User Content"). By submitting User Content to the Service, you grant Future Learning a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license to use, copy, modify, create derivative works of, distribute, publicly display, publicly perform, and otherwise exploit such User Content in any format or medium now known or later developed.

You represent and warrant that: (i) you own the User Content or have the right to use and authorize Future Learning to use the User Content; (ii) the User Content does not violate any third-party rights; and (iii) the User Content complies with these Terms of Use and all applicable laws.

5. Prohibited Activities

You agree not to use the Service for any purpose that is unlawful or prohibited by these Terms of Use. Prohibited activities include, but are not limited to:

• Using the Service for any illegal purpose or in violation of any local, state, national, or international law
• Harassing, threatening, intimidating, or causing distress to other users
• Impersonating any person or entity, or falsely stating or misrepresenting your affiliation with a person or entity
• Interfering with or disrupting the Service or servers or networks connected to the Service
• Uploading, posting, or transmitting any content that contains viruses, worms, or other harmful computer code
• Collecting or harvesting any information about other users without their consent
• Engaging in any automated use of the Service, such as using scripts to send messages or post content

6. Payment Terms

Certain aspects of the Service may require payment. By subscribing to a paid plan or purchasing any content or services, you agree to pay all fees applicable to your selected plan or purchase. All fees are in the currency specified at the time of purchase and are non-refundable unless otherwise stated.

Future Learning reserves the right to change its fees and billing methods at any time. Any changes to recurring subscription fees will be notified to you at least 30 days in advance. If you do not agree to the fee changes, you must cancel your subscription before the changes take effect.

7. Limitation of Liability

To the maximum extent permitted by law, Future Learning and its affiliates, officers, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall Future Learning's total liability to you for all damages, losses, or causes of action exceed the amount you have paid to Future Learning in the last six (6) months, or, if you have not paid Future Learning for the use of any services, the amount of $100.

8. Indemnification

You agree to indemnify, defend, and hold harmless Future Learning and its affiliates, officers, employees, agents, partners, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your violation of these Terms of Use.

9. Governing Law and Jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in Iași, Romania for the resolution of any disputes arising from these Terms of Use or your use of the Service.

10. Termination

Future Learning may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms of Use. Upon termination, your right to use the Service will immediately cease.

All provisions of these Terms of Use which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Entire Agreement

These Terms of Use, together with our Privacy Policy, constitute the entire agreement between you and Future Learning regarding your use of the Service and supersede all prior agreements and understandings, whether written or oral, regarding the subject matter of these Terms of Use.

If any provision of these Terms of Use is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
